End User License Agreement

1. Agreement to Terms

 

This End User License Agreement ("Agreement") is a legal agreement between you ("you" or "User") and Project Dead Channel LLC ("Company," "we," "our," or "us") governing your use of the CameraTilt mobile application, including all related software, features, and updates (collectively, the "App"). By downloading, installing, or using the App, you agree to be bound by this Agreement. If you do not agree to these terms, do not download, install, or use the App.

 

2. License Grant

 

Subject to your compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the App on any device that you own or control, solely for your personal, non-commercial purposes, as permitted by the usage rules of the applicable app store.

 

3. Intended Use and Prohibited Applications

 

The App is designed exclusively for creative, educational, and entertainment purposes, including but not limited to photography composition, videography framing, and artistic visual reference.

 

THE APP IS NOT INTENDED FOR AND MUST NOT BE USED FOR:

  • structural engineering, load-bearing calculations, or construction leveling;

  • rigging, lifting, hoisting, or weight-bearing applications of any kind;

  • safety-critical measurements or decision-making;

  • professional surveying, grading, or land measurement;

  • medical device calibration or healthcare applications;

  • aviation, marine navigation, or vehicle operation; or

  • any application where inaccurate measurements could result in injury, death, or property damage.

 

You acknowledge that the App relies on your device's accelerometer hardware, which is not calibrated or certified for precision measurement. The angle readings displayed by the App are approximations intended for creative reference only and may vary significantly between devices. You agree that you will not rely on the App for any purpose requiring accurate, verified, or safety-critical measurements. For any such application, you must consult qualified professionals using certified equipment.

 

4. Restrictions

 

You agree that you will not, and will not permit any third party to:

  • copy, modify, adapt, translate, or create derivative works of the App, except as expressly permitted by law;

  • reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the App, except to the extent such restriction is prohibited by applicable law;

  • rent, lease, lend, sell, sublicense, assign, distribute, or otherwise commercially exploit the App;

  • remove, alter, or obscure any proprietary notices on the App;

  • use the App for any unlawful purpose or in violation of any applicable law or regulation;

  • use the App for any prohibited application described in Section 3; or

  • use the App in any manner that could damage, disable, or impair the App, or circumvent any security-related features.

 

5. Ownership and Intellectual Property

 

The App is licensed to you, not sold. We and our licensors retain all right, title, and interest in and to the App, including all text, graphics, logos, icons, software, and other content, which are protected by copyright, trademark, and other intellectual property laws. Except for the limited license granted in this Agreement, no rights are granted to you, and this Agreement does not grant you any rights to our trademarks, service marks, or logos. Any angle measurements you save belong to you.

 

6. User Data

 

The App processes accelerometer sensor data from your device solely to display tilt and roll angles. This data is processed locally on your device and is not collected, stored, or transmitted by us. The App allows you to save up to five angle measurements locally on your device. For more details, please refer to our Privacy Policy.

 

7. Disclaimer of Warranties

 

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

 

WE MAKE NO WARRANTY OR REPRESENTATION REGARDING THE ACCURACY, RELIABILITY, OR PRECISION OF ANY ANGLE MEASUREMENTS DISPLAYED BY THE APP. The accuracy of measurements depends entirely on your device's accelerometer hardware, which may vary significantly between devices and may be affected by magnetic interference, temperature, device orientation, or other factors, and is not calibrated or certified for precision measurement.

 

You expressly acknowledge and agree that: (a) the App is intended solely for creative, educational, and entertainment purposes as described in Section 3; (b) the App is not designed, tested, or certified for safety-critical, rigging, structural, or professional measurement applications; (c) you assume all risk associated with any use of the App outside its intended creative purpose; and (d) we have no obligation to test the App against professional or certified measurement standards.

8. Limitation of Liability

​

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PROJECT DEAD CHANNEL LLC, ITS AFFILIATES, DIRECTORS, MEMBERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE APP, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

 

WITHOUT LIMITING THE FOREGOING, WE EXPRESSLY DISCLAIM ANY AND ALL LIABILITY FOR:

  • any injury, death, or property damage resulting from reliance on measurements displayed by the App;

  • any damages arising from use of the App for rigging, lifting, hoisting, or weight-bearing applications;

  • any damages arising from use of the App for structural, engineering, or construction purposes;

  • any damages arising from use of the App for any safety-critical application; and

  • any damages resulting from inaccurate, imprecise, or variable angle measurements.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE APP WILL NOT EXCEED THE AMOUNT YOU PAID, IF ANY, FOR THE APP. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

 

9. Indemnification

 

To the maximum extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Project Dead Channel LLC and its affiliates, directors, members, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the App; (b) your violation of this Agreement; (c) your use of the App for any prohibited application described in Section 3; or (d) any claim that your use of the App for safety-critical, rigging, structural, or professional measurement purposes caused injury, death, or property damage to any third party.

 

10. Updates and Changes to the App

 

We may, but are not obligated to, provide updates, bug fixes, or new versions of the App. Any updates are subject to this Agreement unless accompanied by a separate license. We may modify, suspend, or discontinue the App, in whole or in part, at any time without liability to you.

 

11. Term and Termination

 

This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically, without notice, if you fail to comply with any of its terms. Upon termination, you must cease all use of the App and delete all copies from your devices. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and indemnification) will survive.

 

12. Changes to This Agreement

 

We may update this Agreement from time to time. Any changes will be reflected in the "Effective Date" at the top of this Agreement, and the updated Agreement will be made available within the App or through the applicable app store. Your continued use of the App after any modifications indicates your acceptance of the updated Agreement.

 

13. Governing Law

 

This Agreement is governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of laws principles. The foregoing does not limit any mandatory consumer protection rights you may have under the laws of your country of residence.

 

14. Apple App Store Additional Terms

 

The following additional terms apply if you obtain the App from the Apple App Store. To the extent of any conflict with the rest of this Agreement, these terms govern with respect to your use of the App on Apple devices:

  • This Agreement is concluded between you and Project Dead Channel LLC only, and not with Apple Inc. (“Apple”). We, not Apple, are solely responsible for the App and its content.

  • The license granted to you is limited to a non-transferable license to use the App on any Apple-branded device that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions.

  • Apple has no obligation to provide any maintenance or support services for the App.

  • In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price (if any); to the maximum extent permitted by law, Apple has no other warranty obligation with respect to the App.

  • We, not Apple, are responsible for addressing any claims relating to the App, including product liability claims, claims that the App fails to conform to a legal or regulatory requirement, and claims arising under consumer protection or similar legislation.

  • We, not Apple, are responsible for investigating, defending, settling, and discharging any third-party claim that the App or your use of it infringes that third party's intellectual property rights.

  • You represent that you are not located in a country subject to a U.S. Government embargo or designated as a “terrorist supporting” country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.

  • Apple and its subsidiaries are third-party beneficiaries of this Agreement and, upon your acceptance, will have the right to enforce this Agreement against you as a third-party beneficiary.

 

15. Google Play Additional Terms

 

If you obtain the App from the Google Play Store, your use is also subject to the Google Play Terms of Service. This Agreement is between you and Project Dead Channel LLC only, and not with Google. We, not Google, are solely responsible for the App, and Google has no obligation or liability to you with respect to the App or this Agreement.

 

16. Severability and Entire Agreement

 

If any provision of this Agreement is held to be invalid, illegal, or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect. This Agreement, together with our Privacy Policy, constitutes the entire agreement between you and us regarding the App and supersedes all prior agreements and understandings, whether written or oral.

BY DOWNLOADING, INSTALLING, OR USING THE APP, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THIS END USER LICENSE AGREEMENT, INCLUDING THE INTENDED USE RESTRICTIONS AND PROHIBITED APPLICATIONS SET FORTH IN SECTION 3.
